2023 Annual Report of Independent Director (Independent Director: Chen Wen)
Dear shareholders and representatives:
As the fifth independent director of Meisheng Cultural Creative Co., Ltd. (hereinafter referred to as "Meisheng Cultural" or "the Company"), I, Chen Wen, have diligently fulfilled my responsibilities in accordance with the Company Law, the Management Measures for Independent Directors of Listed Companies, the Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 1 - Standard Operations of Main Board Listed Companies, the Articles of Association, and other relevant laws and regulations. I have thoroughly understood the company's operations, faithfully performed my duties as an independent director, actively attended relevant meetings, carefully reviewed various proposals from the board of directors, and provided independent and impartial opinions on matters requiring the input of independent directors during the reporting period, thereby actively safeguarding the overall interests of the company and the legitimate rights and interests of all shareholders, especially minority shareholders. Below is my report on the performance of my duties in 2023:
1. Basic Information
I, Chen Wen, was born in 1952, hold Chinese nationality, am a member of the Communist Party of China, and do not have permanent residency abroad. I graduated from the Art Department of Shanghai Normal University and obtained a Master's degree in Business Administration from Fudan University. I am a first-level editor in the national arts series and a national "March 8th Red Banner Holder." I have served as the Director of the Film and Television Center of the former Shanghai Media Group, a director and executive vice president of Shanghai Xuan Dong Cartoon TV Entertainment Co., Ltd., and the general manager of Shanghai Video Film Company (Shangshi Film Industry). I have held positions as an executive director of the China Animation Association, an executive director of the China TV Producers Association, a director of the Shanghai Digital Content Industry Promotion Center, and the executive director of the Suhe Contemporary Art Center. I have been serving as an independent director of Meisheng Cultural since January 2022. I do not hold any other positions in Meisheng Cultural besides that of independent director, and I have no direct or indirect interests or other relationships that may affect my independent and objective judgment regarding the company and its controlling shareholders or actual controllers. During my tenure in 2023, I conducted a self-assessment of my independence, confirming compliance with the independence requirements stipulated in Article 6 of the Management Measures for Independent Directors of Listed Companies, and found no factors affecting my independence.
