Announcement of Resolutions of the Fourth Meeting of the Seventh Board of Directors

The fourth meeting of the seventh board of directors of Jinhe Biotechnology Co., Ltd. (hereinafter referred to as the "Company") was notified via email on July 12, 2026, and held via communication on July 15, 2026. The meeting was chaired by Chairman Mr. Wang Dongxiao. Of the 9 directors who should have attended, 9 were present. The number of directors present met the requirements of laws and regulations, and the meeting was legal and valid. The meeting was convened in accordance with the Company Law of the People's Republic of China (hereinafter referred to as the "Company Law") and other laws, regulations, and the Articles of Association. The attending directors reviewed and approved the following proposals via communication voting:
- The Proposal on the Bidding Results of the Company's 2025 Non-public Issuance of Shares via Simplified Procedure was approved with 9 votes in favor, 0 against, and 0 abstentions.
In accordance with the Company Law, the Securities Law of the People's Republic of China, the Administrative Measures for the Registration of Securities Issuance by Listed Companies, the Implementation Rules for Securities Issuance and Underwriting Business of Listed Companies of the Shenzhen Stock Exchange, and other relevant laws, regulations, and normative documents, as well as the authorization of the 2024 Annual General Meeting (and extended by the 2025 Annual General Meeting), the Company and the sponsor (lead underwriter) Ping An Securities Co., Ltd. sent the "Subscription Invitation for the Non-public Issuance of Shares by Jinhe Biotechnology Co., Ltd. via Simplified Procedure" (hereinafter referred to as the "Subscription Invitation") to qualified investors on July 7, 2026. With July 8, 2026, as the first day of the issuance period, and following investor quotations on July 10, 2026, and in accordance with the principles for determining the issuance target, issuance price, and number of shares allotted as set forth in the "Subscription Invitation," the Board of Directors confirmed the final bidding results for the Company's 2025 non-public issuance of A-shares via simplified procedure (hereinafter referred to as the "Issuance") as follows:
