Weiling New Energy Co., Ltd. (hereinafter referred to as "the Company" or "Weiling") and all members of the board of directors guarantee that the information disclosed is true, accurate, and complete, with no false records, misleading statements, or significant omissions.
On June 2, 2026, the Company held the 19th meeting of the 7th Board of Directors, where it reviewed and approved the proposal on the appointment of the Company's rotating president and other senior management personnel. The specific details are as follows:
1. Appointment of Rotating President and Other Senior Management Personnel
The Board of Directors agreed to appoint Mr. Yin Xian as the rotating president of the Company for a term of two years. Mr. Yuan Mingcai, Mr. Zhu Xiaojun, and Ms. Wei Hang were appointed as vice presidents, and Mr. Bo Yiping was appointed as the chief financial officer, with terms consistent with the 7th Board of Directors. The qualifications of the aforementioned senior management personnel have been reviewed and approved by the Company's Board of Directors Nomination Committee, and the proposal for the appointment of the chief financial officer has been reviewed and approved by the Company's Board of Directors Audit Committee. The individuals possess qualifications suitable for their responsibilities and do not fall under any disqualifications as stipulated by the Company Law, the Articles of Association, or other relevant regulations. They have not been penalized by the China Securities Regulatory Commission or other relevant departments, nor have they faced disciplinary actions from the stock exchange, and they are not listed as dishonest executors. The number of directors concurrently serving as senior management personnel and those serving as employee representatives does not exceed half of the total number of directors.
