The Company's controlling subsidiary, Zhengzhou High-tech Zone Jinbang Construction Co., Ltd. (hereinafter referred to as "Jinbang Company"), has filed a civil lawsuit as the plaintiff regarding a contract dispute over the Zhengzhou High-tech Zone Municipal Greening PPP Project (hereinafter referred to as "PPP Project") with the Zhengzhou Intermediate People's Court. Jinbang Company recently received the "Case Acceptance Notice" issued by the Zhengzhou Intermediate People's Court [(2026) Yu 01 Min Chu 234].

Reasons for the Lawsuit
The plaintiff and Defendant 1 signed the "Zhengzhou High-tech Zone Municipal Greening PPP Project Contract" (hereinafter referred to as "PPP Project Contract") on April 19, 2017, with an initial estimated total investment of approximately 3.3 billion yuan. Subsequently, both parties signed corresponding supplementary agreements in 2021 and 2022 to adjust the project scope and investment scale, resulting in a revised total project investment of approximately 1.049 billion yuan, covering 159 individual sub-projects. As of the date of the lawsuit, all 159 individual sub-projects have completed construction, with 107 passing acceptance by the defendants and the remaining 52 completed and awaiting acceptance. The plaintiff has fully performed the construction obligations stipulated in the PPP Project Contract and supplementary agreements. The project was supposed to officially enter the operation and maintenance period on April 18, 2022, but due to the defendants' insufficient preparation and delays in processing relevant procedures, the project actually commenced operation and maintenance work on April 18, 2023. During the operation and maintenance period, the plaintiff strictly fulfilled its obligations according to the PPP Project Contract and municipal greening industry operation and maintenance standards, ensuring that project facilities remained in a usable state as agreed in the contract, and successfully passed the annual operation and maintenance assessments by the defendants before any disputes arose.
