I. Resignation of General Manager
On July 7, 2026, the Board of Directors of Zhongneng Wanhua Co., Ltd. (hereinafter referred to as the "Company") received the written resignation report from Mr. Wang Zhongli. Mr. Wang Zhongli has applied to resign from his position as General Manager of the Company due to age. His original term of office was consistent with the term of the current Board of Directors. In accordance with the "Company Law," the "Main Board Listing Rules of the Shenzhen Stock Exchange," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 1 - Norms for the Operation of Main Board Listed Companies," and the "Articles of Association," etc., Mr. Wang Zhongli's resignation report shall take effect from the date the Company's Board of Directors receives the resignation report.
As of the disclosure date of this announcement, Mr. Wang Zhongli holds 9,994,965 shares of the Company.
