Hubei Minji Law Firm (hereinafter referred to as "this firm") was entrusted by Hubei Three Gorges Tourism Group Co., Ltd. (hereinafter referred to as "Three Gorges Tourism") to appoint lawyers to attend the first extraordinary shareholders' meeting of Three Gorges Tourism in 2026 (hereinafter referred to as "this meeting") and to witness the legality of this meeting, issuing this legal opinion. This legal opinion is issued based on the relevant provisions of the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law") and other laws, regulations, and normative documents, as well as the Articles of Association of Hubei Three Gorges Tourism Group Co., Ltd. (hereinafter referred to as "the Articles of Association").
