Zhejiang Century Huatong Group Co., Ltd. (hereinafter referred to as "the Company") and all members of the board guarantee that the content of this announcement is true, accurate, and complete, with no false records, misleading statements, or significant omissions.
I. Overview of the Guarantee Situation
To meet the operational needs of the Company's wholly-owned subsidiaries, Shengqu Information Technology (Shanghai) Co., Ltd. (hereinafter referred to as "Shengqu Information") and Lansha Information Technology (Shanghai) Co., Ltd. (hereinafter referred to as "Lansha Information"), and to implement the subsidiaries' funding plans, the Company convened the 19th meeting of the 6th Board of Directors on April 28, 2026, and approved the proposal to provide guarantees for the bank credit limits applied for by the wholly-owned subsidiaries. The Company will provide joint liability guarantees for Shengqu Information and Lansha Information for credit limits applied to the Industrial and Commercial Bank of China (ICBC) Zhangjiang Science and Technology Branch, not exceeding 100 million yuan (totaling not more than 200 million yuan), and to China Merchants Bank Shanghai Branch, not exceeding 300 million yuan (with Shengqu Information's limit at 100 million yuan and Lansha Information's limit at 200 million yuan). The guarantee period will be from the effective date of the respective guarantee contracts until three years after the expiration of each loan under the respective credit limits. According to the relevant provisions of the Shenzhen Stock Exchange Listing Rules and the Company's Articles of Association, the above guarantee matters fall within the decision-making authority of the Board of Directors and do not require submission to the shareholders' meeting for deliberation. This guarantee does not constitute a related party guarantee. The convening and holding procedures of this board meeting, the qualifications of attendees, voting procedures, and the formation and signing of resolutions all comply with the relevant provisions of the Company Law and the Articles of Association. The relevant agreements related to the credit business and guarantee matters have not yet been signed.
