Shanghai Jintiancheng Law Firm (hereinafter referred to as "this firm") has been entrusted by Delixi Co., Ltd. (hereinafter referred to as "the Company") to issue this legal opinion in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), the Rules for Shareholders' Meetings of Listed Companies (hereinafter referred to as "the Shareholders' Meeting Rules"), and other relevant laws, regulations, normative documents, and the Articles of Association of Delixi Co., Ltd. (hereinafter referred to as "the Articles of Association"). The lawyers are appointed to attend the Company's 2025 Annual Shareholders' Meeting (hereinafter referred to as "this Shareholders' Meeting"), witness relevant matters, and legally issue this legal opinion.
This legal opinion only addresses the convening and holding procedures of this Shareholders' Meeting, the qualifications of attendees, the qualifications of the convener, the voting procedures, and the voting results, and does not express opinions on the content of the proposals reviewed at this Shareholders' Meeting or the authenticity, accuracy, completeness, and legality of the facts or data presented in such proposals. This legal opinion is for the purpose of this Shareholders' Meeting only and may not be used for any other purpose without the written consent of this firm.
