Sponsorship Letter for Shanghai STEP Electric Corporation's 2025 Private Placement of Shares

Shanghai STEP Electric Corporation (hereinafter referred to as "STEP," "the issuer," "the listed company," or "the company") intends to apply for the issuance of 152,504,097 shares of common stock (A shares) to specific investors (hereinafter referred to as "this securities issuance," "this issuance," or "the issuance of shares to specific investors") and has appointed China International Capital Corporation (hereinafter referred to as "CICC") as the sponsor for this securities issuance (hereinafter referred to as "the sponsor" or "this institution").

In accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), the Administrative Measures for the Sponsorship of Securities Issuance and Listing (hereinafter referred to as "the Sponsorship Measures"), the Registration Management Measures for Securities Issuance by Listed Companies (hereinafter referred to as "the Registration Management Measures"), the Guidelines No. 27 on the Content and Format of Information Disclosure by Companies Issuing Securities (hereinafter referred to as "Guideline No. 27"), and other relevant laws and regulations, as well as the provisions of the China Securities Regulatory Commission (hereinafter referred to as "CSRC") and Shenzhen Stock Exchange (hereinafter referred to as "SZSE"), CICC and its sponsoring representatives have acted honestly and diligently, strictly following the legally established business rules, industry practices, and ethical standards to issue this sponsorship letter, ensuring the authenticity, accuracy, and completeness of this sponsorship letter. (Unless otherwise specified in this sponsorship letter, relevant terms have the same meanings as in the due diligence report issued by China International Capital Corporation regarding Shanghai STEP Electric Corporation's 2025 private placement of shares.)
