(hereinafter referred to as the "Company") and its holding subsidiaries have exceeded 100% of the net assets attributable to the parent company in the most recent audited period. All these guarantees are inter-company guarantees among the Company, its holding subsidiaries, wholly-owned subsidiaries, and their subordinate companies. Investors are kindly requested to pay attention to the guarantee risk.
I. Overview On April 22, 2026, the Company held the Ninth Meeting of the Sixth Board of Directors, which reviewed and approved the "Proposal on Applying for Comprehensive Credit Line and Providing Guarantees and Counter-Guarantees by the Company, its Subsidiaries, and Their Subordinate Companies to Banks and Other Financial Institutions in 2026". It was agreed that based on the Company's production and operation plan and development plan for 2026, to ensure the Company's normal operating capital needs, the Company, its holding subsidiaries within the consolidated financial statement scope, and its孙公司 (grand-subsidiaries) plan to apply for a comprehensive credit line totaling no more than RMB 6.2 billion (inclusive) from banks and other financial institutions in 2026. This includes, but is not limited to: credit loans, third-party guarantee loans, asset-backed loans, bank acceptance bills, bank guarantees, factoring, trade finance, M&A loans, medical insurance loans, financial leasing, and other businesses. The Company will select the optimal option based on its actual capital needs for production and operation, its credit situation with financial institutions, and considering factors such as credit line, financing term, and financing costs of various banks and financial institutions.
