Chapter 1 General Principles
Article 1
To safeguard the legitimate rights and interests of Sou Yu Te Group Co., Ltd. (hereinafter referred to as "the Company"), its shareholders, and creditors, and to regulate the organization and behavior of the Company, these Articles are formulated in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China, and other relevant regulations.
Article 2
The Company is a joint-stock limited company established in accordance with the Company Law and other relevant regulations. The Company is transformed from Dongguan Sou Yu Te Clothing Co., Ltd. and is registered with the Dongguan Administration for Industry and Commerce, holding a business license with the unified social credit code 91441900782974319E.
Article 3
The Company was approved by the China Securities Regulatory Commission (hereinafter referred to as "CSRC") on October 19, 2010, to publicly issue 20 million ordinary shares of RMB. The Company's shares were listed on the Shenzhen Stock Exchange on November 17, 2010.
Article 4
The registered Chinese name of the Company is: 搜于特集团股份有限公司. The English name is: SOU YU TE GROUP CO., LTD.
Article 5
The Company's registered address is: No. 1, Xinhongchang Road, Daojiao Town, Dongguan City, Guangdong Province, Postal Code: 523170.
Article 6
The registered capital of the Company is RMB 305,187,823.31.
Article 7
The Company is a perpetual joint-stock limited company.
Article 8
The general manager is the legal representative of the Company.
Article 9
All assets of the Company are divided into equal shares, and shareholders are liable to the extent of their subscribed shares. The Company is liable for its debts with all its assets.
Article 10
These Articles shall become a legally binding document regulating the organization and behavior of the Company, as well as the rights and obligations between the Company and its shareholders, and among shareholders. According to these Articles, shareholders may sue other shareholders, and shareholders may sue the Company's directors, supervisors, general manager, and other senior management personnel. The Company may sue shareholders, directors, supervisors, general manager, and other senior management personnel.
Article 11
The term "other senior management personnel" in these Articles refers to the deputy general manager, board secretary, and chief financial officer.
Chapter 2 Business Objectives and Scope
Article 12
The Company's business objectives are to adhere to integrity and lawful operations, reasonably integrate and optimize the use of the Company's assets and other social resources, provide high-quality products and services to society, achieve sustainable development, maximize the Company's profits and value, ensure the reasonable interests of relevant parties, and provide the maximum investment returns to all shareholders.
Article 13
Upon legal registration, the Company's business scope includes: sales and online sales of clothing, shoes and hats, textiles, leather products, down products, textile fabrics, luggage, toys, decorations, crafts, electronic devices, paper products, daily necessities, watches and glasses, cosmetics, electronic products, household appliances, stationery, sports goods, hangers, display racks, model props, lighting, audio equipment, pulp, chemical raw materials and products (excluding hazardous chemicals), pre-packaged food (including refrigerated and frozen food), bulk food (including refrigerated and frozen food, excluding bulk cooked food), meat, wood and wood products; internet retail; trade brokerage and brand agency; warehousing services; catering services; software development; business information consulting; information technology consulting services, data processing and storage services; commercial factoring services; supply chain management; cold chain services; property management; enterprise management consulting; import and export of goods or technology (excluding goods and technology prohibited by the state or subject to administrative approval).
