General Manager Work Rules
Chapter 1 General Provisions
Article 1 In accordance with the requirements of the modern enterprise system, to further improve the governance structure of Luxshare Precision Industry Co., Ltd. (hereinafter referred to as "the Company"), and in accordance with the "Company Law of the People's Republic of China," the "Code of Corporate Governance for Listed Companies," and the "Articles of Association of Luxshare Precision Industry Co., Ltd." (hereinafter referred to as the "Articles of Association"), these work rules are hereby formulated.
Article 2 The General Manager shall be appointed by the Board of Directors, preside over the Company's daily operations and management, organize the implementation of the Board of Directors' resolutions, and be responsible to the Board of Directors.
Chapter 2 Responsibilities and Division of Labor
Article 3 The General Manager shall exercise the following powers: (1) Preside over the Company's production and operation management, organize the implementation of the Board of Directors' resolutions, and report work to the Board of Directors; (2) Organize the implementation of the Company's annual operating plan and investment plan; (3) Formulate the organizational structure plan for the Company's internal management departments; (4) Formulate the Company's basic management system; (5) Formulate the Company's specific rules and regulations; (6) Review and approve related-party transactions of the Company that do not require deliberation and approval by the Board of Directors or shareholders' meeting; (7) Review and approve external investments of the Company that do not require deliberation and approval by the Board of Directors or shareholders' meeting; (8) Propose to the Board of Directors the appointment or dismissal of the Company's Deputy General Managers and Financial Controller; (9) Decide on the appointment or dismissal of management personnel other than those to be appointed or dismissed by the Board of Directors; (10) Other powers granted by the Articles of Association and the Board of Directors.
Article 4 Deputy General Managers shall exercise the following powers: (1) Assist the General Manager in work and be responsible to the General Manager; (2) Take charge of the corresponding departments or work according to the division of labor determined by the General Manager; (3) Fully responsible for the work under their charge within the scope of the General Manager's authorization and bear corresponding responsibilities; (4) Within the scope of their work, have the right to recommend to the General Manager the appointment and removal of personnel and changes in organizational structure; (5) Have the right to convene coordination meetings within their scope of work, determine the date, agenda, and attendees, and report the meeting results to the General Manager; (6) Approve or review the business operations of their respective departments in accordance with the Company's business approval authority and bear corresponding responsibilities; (7) Have the right to propose suggestions to the General Manager on major company matters; (8) Other matters assigned by the General Manager.
