Jinzhengda Ecological Engineering Group Co., Ltd. (hereinafter referred to as the "Company") held the 20th meeting of the Sixth Board of Directors on June 25, 2026, and reviewed and approved the "Proposal on Provision for Contingent Liabilities for the Company's Subsidiary's Integrated Management Project and Authorization to Management to Handle Specific Matters Layer by Layer by the Shareholders' Meeting." In accordance with relevant laws and regulations and the "Articles of Association," the specific situation is hereby announced as follows:

- Situation of the Company's Subsidiary's Integrated Management Project
Yunnan Zhongzheng Chemical Co., Ltd. (hereinafter referred to as "Yunnan Zhongzheng"), a subsidiary of the Company, recently received the "Notice on Accelerating the Integrated Management of Two High-Risk Phosphogypsum Tailings Ponds from the People's Government of Jinning District, Kunming City (Jin Zheng Han [2026] No. 8)" (hereinafter referred to as "Jin Zheng Han [2026] No. 8"), requiring Yunnan Zhongzheng to complete the relocation, detoxification, and backfilling of its two phosphogypsum tailing ponds for ecological restoration of mine pits by the end of June 2027.
After receiving the above notice, Yunnan Zhongzheng is actively promoting the integrated management project and will sign the corresponding project agreement after the matter is reviewed and approved by the Company's Shareholders' Meeting. Based on the "Accounting Standards for Business Enterprises," the "Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange," and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guide No. 1 - Business Handling," and other relevant laws and regulations, and based on the principle of prudence, combined with the content of the above notice, it is proposed to make a provision for contingent liabilities.
