Chapter 1 General Principles
Article 1
To regulate related party transactions of Tianqi Lithium Corporation (hereinafter referred to as "the Company"), ensure the authenticity of the Company's related party transactions, and protect the interests of shareholders, in accordance with the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Shenzhen Stock Exchange Listing Rules," and "Hong Kong Listing Rules," the Company establishes this related party transaction decision-making system based on actual conditions.
Article 2
The Company’s related party transactions should ensure fairness, impartiality, and transparency, and should not harm the interests of non-related parties or the Company itself.
Article 3
The Company and its subsidiaries (hereinafter referred to as "the subsidiaries") shall maintain a list of related parties and assess whether any individual or entity is a related party. If a related party transaction occurs, it should be reported to the relevant authorities.
Article 4
The related party transactions between the Company and its related parties should be documented in writing and should avoid any potential conflicts of interest.
Article 5
The Company shall ensure that the management personnel involved in related party transactions do not have any direct or indirect interests in the transactions.
Article 6
The Company should take necessary measures to prevent related party transactions from harming the interests of the Company and its shareholders.
Article 7
The Company shall disclose related party transactions in accordance with relevant regulations and ensure that the information is accurate and complete.
Article 8
The Company shall establish a reporting mechanism for related party transactions to ensure that all transactions are reviewed and approved in a timely manner.
Article 9
The Company shall ensure that related party transactions are conducted at fair market prices and are in line with the Company's best interests.
Article 10
The Company shall regularly review its related party transactions to ensure compliance with this decision-making system and relevant regulations.
Article 11
The Company shall ensure that related party transactions are conducted in accordance with relevant laws and regulations, and that they are properly documented.
Article 12
The Company shall disclose related party transactions in accordance with the relevant provisions of the Shenzhen Stock Exchange listing rules.
