I. Adjustment of Senior Management Positions and Appointment of Chief Financial Officer
The board of directors of Jiangsu Baichuan High-Tech Materials Co., Ltd. (hereinafter referred to as "the Company") recently received a written resignation report from Mr. Jiang Guoqiang, director and general manager of the Company. Due to reaching the statutory retirement age, Mr. Jiang Guoqiang has applied to resign from his position as General Manager of the Company. He will continue to serve as a director of the Company after his resignation. The resignation report takes effect from the date it is delivered to the board of directors of the Company.
The Company held the twelfth meeting of the seventh board of directors on August 6, 2026, and reviewed and approved the "Proposal on Appointing the General Manager of the Company" and the "Proposal on Appointing the Chief Financial Officer of the Company."
After qualification review by the Nomination Committee of the Board of Directors, the board of directors agreed to appoint Ms. Cao Cai'e (resume attached) as the General Manager of the Company. Her term of office shall commence from the date of the board of directors' review and approval until the expiration of the seventh board of directors. Upon being elected as General Manager, Ms. Cao Cai'e will no longer serve as Deputy General Manager and Chief Financial Officer of the Company. After review and approval by the Nomination Committee of the Board of Directors and the Audit Committee of the Board of Directors, the board of directors agreed to appoint Mr. Zhu Yuanqing (resume attached) as the Chief Financial Officer of the Company. His term of office shall commence from the date of the board of directors' review and approval until the expiration of the term of the seventh board of directors.
