Legal Opinion on the 2025 Annual General Meeting of Jiangsu Shentong Valve Co., Ltd.
To: Jiangsu Shentong Valve Co., Ltd.
Shanghai AllBright Law Offices (hereinafter referred to as "the Firm") has been entrusted by Jiangsu Shentong Valve Co., Ltd. (hereinafter referred to as "the Company") to appoint its lawyers, Xu Qing and Zhou Qi (hereinafter referred to as "the Firm's lawyers"), to issue this legal opinion on matters related to the Company's 2025 Annual General Meeting (hereinafter referred to as "the Meeting") in accordance with the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Rules for Shareholders' Meetings of Listed Companies," and other relevant laws, regulations, and normative documents (hereinafter collectively referred to as "Laws and Regulations") and the "Articles of Association of Jiangsu Shentong Valve Co., Ltd." (hereinafter referred to as "the Company's Articles of Association").
The Firm's lawyers have examined and verified the legal documents, other documents, and materials provided by the Company related to the Meeting. During the verification process, the Company assured the Firm that all signatures, seals, and stamps on the documents provided to the Firm are authentic, that all original documents submitted to the Firm are true, accurate, complete, and valid, and that any copies or duplicates are consistent with the originals.
In this Legal Opinion, the Firm's lawyers will only express opinions on whether the procedures for convening and holding the Meeting, the qualifications of the attendees and the convener, and the voting procedures and results comply with the provisions of the Laws and Regulations and the Company's Articles of Association. The Firm will not express opinions on the truthfulness and accuracy of the facts or data stated in the proposals deliberated at the Meeting.
The Firm and its lawyers have fulfilled their statutory duties, adhered to the principles of diligence and good faith, conducted thorough investigations and verifications, and ensured that the facts determined in this Legal Opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or material omissions, and will bear corresponding legal responsibilities.

Based on the above, the Firm's lawyers hereby issue the following legal opinion:
I. Regarding the Convening and Holding Procedures of the Meeting
According to the Company's announcement titled "Notice of Jiangsu Shentong Valve Co., Ltd. on Convening the 2025 Annual General Meeting" (hereinafter referred to as the "Meeting Notice"), the Company's Board of Directors notified all shareholders through public announcement twenty days prior to the Meeting.
The Company's Board of Directors specified the time, place, and equity registration date for the Meeting in the Meeting Notice and other documents, and listed the proposals to be deliberated at the Meeting in the Meeting Notice.
