Special Reminder:
- Shenzhen Xingsen Kuaijie Circuit Board Technology Co., Ltd. (hereinafter referred to as the "Company") estimates that the total guarantee quota for its subsidiaries within the consolidated financial statements will not exceed RMB 6.39 billion (or equivalent foreign currency), accounting for 129.47% of the company's net assets as of the latest audited period. Among them, the guarantee quota for subsidiaries whose asset-liability ratio in the consolidated financial statements exceeds 70% will not exceed RMB 950 million, accounting for 19.25% of the company's net assets as of the latest audited period. The company does not provide guarantees to entities outside the consolidated financial statements. The estimated guarantee quota is not the actual guarantee amount. The actual guarantee amount shall be subject to the actual signed guarantee contracts. Investors are kindly requested to pay close attention to the guarantee risks.
- This guarantee matter needs to be submitted to the company's shareholders' meeting for deliberation.
The Company's Seventh Board of Directors' Eleventh Meeting held on March 13, 2026, deliberated and approved the "Proposal on Estimated Guarantee Quota." The relevant matters are hereby announced as follows:
I. Estimated Guarantee Quota Matters (I) Company's Guarantee Quota for Subsidiaries To support the financing needs of its subsidiaries, the Company agrees to provide guarantees for its subsidiaries. The total new guarantee quota will not exceed RMB 6.39 billion (or equivalent foreign currency). The specific guaranteed entities and estimated quotas are as follows:
