I. Basic Investment Situation
Tianjin Nine-An Medical & Electronic Inc. (hereinafter referred to as the "Company") held the 28th meeting of the 6th Board of Directors on October 24, 2025, and approved the "Proposal on Joint Investment with Professional Investment Institutions." The Company agreed to jointly establish Tianjin Haihe Venture Capital Fund Partnership (Limited Partnership) with Tianjin Haihe Industrial Fund Management Co., Ltd. (hereinafter referred to as "Haihe Industrial Fund Management Company") as the general partner and other limited partners. The total scale of this partnership is RMB 701 million. The Company, as one of the limited partners (LP), will make a financial investment of RMB 100 million. For details, please refer to the "Announcement on Joint Investment with Professional Investment Institutions" disclosed by the Company on October 25, 2025 (Announcement No.: 2025-085).
II. Progress Update
Tianjin Haihe Venture Capital Fund Partnership (Limited Partnership) has made capital contributions to the Beijing-Tianjin-Hebei Venture Capital Guidance Fund Partnership (Limited Partnership) (hereinafter referred to as the "Beijing-Tianjin-Hebei Fund") established by the National Venture Capital Guidance Fund Co., Ltd. in the Beijing-Tianjin-Hebei region, and will specifically invest its funds in the Beijing-Tianjin-Hebei Fund. To further promote the progress of the aforementioned capital contribution, upon the notice from Haihe Industrial Fund Management Company, the general partner, the following adjustments are proposed for Tianjin Haihe Venture Capital Fund Partnership (Limited Partnership):
