As an independent director of Shenzhen Topband Co., Ltd. (hereinafter referred to as the "Company"), during my tenure in 2025, I have strictly adhered to the Company Law, Securities Law, the Measures for the Administration of Independent Directors of Listed Companies, and other laws and regulations, as well as the Company's Articles of Association and the Company's Independent Director Work System. With the principles of objectivity, prudence, independence, and fairness, I have diligently performed my duties, actively participated in company research activities, attended board meetings on time, conscientiously reviewed board proposals, and fully exercised my role as an independent director, striving to safeguard the overall interests of the Company and the legitimate rights and interests of all shareholders, especially small and medium shareholders. I. Basic Information of Independent Director
- Work Experience, Professional Background, and Concurrent Positions Fan Mingspring, male, born in 1962, a member of the Communist Party of China, holds the titles of Senior Economist and Senior Management MBA. He graduated from the Guanghua School of Management, Peking University, and obtained a Master's degree in Political Economy from Wuhan University of Technology. He began his career in 1988 and has served as Chairman of Suzhou Zhongke Innovative Materials Co., Ltd.; Deputy Secretary of the Party Group and Executive Deputy Director of the Shenzhen Municipal Administration for Market Regulation; Secretary of the Party Committee and Chairman of Shenzhen Investment Holdings Co., Ltd.; Deputy Secretary of the Futian District Party Committee; Member of the Party Group and Deputy Director of the Shenzhen Municipal Administration for Industry and Commerce (Price Bureau); Director of the Office and Section Chief of the Price Supervision Section of the Shenzhen Municipal Administration for Industry and Commerce (Price Bureau); and Section Chief of the Price Supervision Section of the Hubei Provincial Price Bureau. He has served as an independent director of this Company since November 2022.
