Announcement on Progress of Guarantee for Subsidiary's Credit Facility Application

I. Overview of Guarantee Situation
Shenzhen Zhaochi Co., Ltd. (hereinafter referred to as the "Company") held the 18th meeting of the Sixth Board of Directors and the 2024 Annual Shareholders' Meeting on April 15, 2025, and May 7, 2025, respectively. The proposal "Regarding the Guarantee for Subsidiary's Credit Facility Application" was deliberated and approved. It was agreed that the Company and its subsidiaries within the scope of consolidated financial statements would provide guarantees for subsidiaries applying for comprehensive credit facilities from banks/financial institutions. The estimated guarantee amount for 2025 is no more than RMB 7,720 million and USD 10 million. The specific guarantee amount, method, scope, and term shall be subject to the relevant contract. The guarantee amount can be adjusted among subsidiaries according to the actual situation. The validity period of the guarantee amount is from the date of approval by the Company's 2024 Annual Shareholders' Meeting to the date of the 2025 Annual Shareholders' Meeting. II. Progress of Guarantee
Recently, the Company, as the guarantor, signed the "Maximum Guarantee Contract" with the Nanchang Branch of China CITIC Bank Co., Ltd. (hereinafter referred to as "CITIC Bank") to provide a joint liability guarantee for the comprehensive credit facility applied by its wholly-owned subsidiary Jiangxi Zhaochi Semiconductor Co., Ltd. (hereinafter referred to as "Zhaochi Semiconductor") from CITIC Bank.
