I. Overview of Guarantee Situation
Shenzhen Topband Co., Ltd. (hereinafter referred to as the "Company") held the 18th meeting of the Sixth Board of Directors and the 2024 Annual Shareholders' Meeting on April 15, 2025, and May 7, 2025, respectively. The proposal on "Guarantee for Subsidiary's Credit Application" was deliberated and approved. The Company and its subsidiaries within the scope of consolidated financial statements agreed to provide guarantees for subsidiaries applying for comprehensive credit from banks/financial institutions. The estimated guarantee amount for 2025 is no more than RMB 7,720,000,000 and USD 10,000,000. The specific guarantee amount, method, scope, and term shall be subject to the relevant contract. The guarantee limit can be adjusted among subsidiaries according to the actual situation. The guarantee period is valid from the date of approval by the Company's 2024 Annual Shareholders' Meeting until the date of the 2025 Annual Shareholders' Meeting. II. Progress of Guarantee
Recently, the Company, as the guarantor, signed a "Maximum Amount Guarantee Contract" with the Nanchang Branch of Shanghai Pudong Development Bank Co., Ltd. (hereinafter referred to as "SPD Bank") to provide joint liability guarantee for the comprehensive credit line applied by its wholly-owned subsidiary, Jiangxi Topband Semiconductor Co., Ltd. (hereinafter referred to as "Topband Semiconductor"), from SPD Bank.
