I. Review Procedures Yunnan Lincang Xinyuan Germanium Industry Co., Ltd. (hereinafter referred to as the "Company") convened the First Special Meeting of Independent Directors in 2026 on April 17, 2026, and the Third Meeting of the Ninth Board of Directors on April 21, 2026. The "2025 Profit Distribution Plan" was reviewed and approved. This proposal needs to be submitted to the Company's 2025 Annual Shareholders' Meeting for deliberation.

1. Review by the Special Meeting of Independent Directors On April 17, 2026, the First Special Meeting of Independent Directors in 2026 reviewed and approved the "2025 Profit Distribution Plan." The independent directors believe that the 2025 profit distribution plan proposed by the Board of Directors complies with the "Notice on Further Implementing Cash Dividend Matters for Listed Companies" issued by the China Securities Regulatory Commission, the "Guiding No. 3—Cash Dividends of Listed Companies," and other relevant laws and regulations, as well as the "Articles of Association." This plan comprehensively considers the reasonable returns for investors and balances the company's sustainable development, which is in the interests of the Company and all shareholders. The profit distribution plan is agreed upon and will be submitted to the Board of Directors for review and then to the Shareholders' Meeting for approval.

2. Review by the Board of Directors On April 21, 2026, the Third Meeting of the Ninth Board of Directors reviewed and approved the "2025 Profit Distribution Plan" and will submit this proposal to the Company's 2025 Annual Shareholders' Meeting for deliberation.
