Yunnan Lincang Xinyuan Germanium Industry Co., Ltd. Special Opinion on the Assessment of Independent Directors' Independence by the Board of Directors
In accordance with the requirements of the China Securities Regulatory Commission's "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Stock Listing Rules," and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1 - Norms for Operations of Main Board Listed Companies," and based on the "Report on the Self-Assessment of Independence by Independent Directors" issued by the independent directors, the Board of Directors of Yunnan Lincang Xinyuan Germanium Industry Co., Ltd. (hereinafter referred to as the "Company") hereby issues the following special opinion on the independence of Mr. Fang Ziwei and Mr. Long Chao, who are completing their terms as independent directors of the eighth board, and Mr. Huang Song, Mr. Guan Yuhong, and Mr. Wang Jun, who are currently serving as independent directors of the ninth board:
Upon review of the resumes of the aforementioned five independent directors and the content of their signed self-assessment documents, it is confirmed that these individuals do not hold any positions in the Company other than independent director, nor do they hold any positions in the Company's major shareholders. They have no relationship with the Company or its major shareholders that would hinder their independent and objective judgment, nor are there any other circumstances affecting the independence of the independent directors. Therefore, the Company's independent directors meet the relevant requirements for the independence of independent directors as stipulated in the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1 - Norms for Operations of Main Board Listed Companies," and other relevant laws and regulations.
