Chapter 1 General Provisions
Article 1 To strengthen the internal reporting of major information of Zhejiang Youfu High-Tech Fiber Co., Ltd. (hereinafter referred to as the Company), clarify the methods for information collection and management by all departments and wholly-owned subsidiaries of the Company, and ensure that the Company promptly, truthfully, accurately, and completely discloses all information that may have a significant impact on the trading price of the Company's stock and its derivatives, this System is formulated in accordance with the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China," the "Measures for the Administration of Information Disclosure by Listed Companies," the "Stock Listing Rules of the Shenzhen Stock Exchange," the "Shenzhen Stock Exchange Main Board Listed Company Self-Regulation Management Guide No. 1 – Standardized Operation of Main Board Listed Companies," and the "Articles of Association of Zhejiang Youfu High-Tech Fiber Co., Ltd.," as well as the Company's actual situation.
Article 2 Major information as referred to in this System means information that, upon occurrence, is likely to have a significant impact on the trading price of the Company's stock and its derivatives, including but not limited to major event information, transaction information, related party transaction information, major operational management information, and other major event information.
Article 3 The following individuals are obligated to report major information: (1) The Company's controlling shareholder, actual controller, and shareholders holding more than 5% of the Company's shares; (2) Directors and senior management personnel of the Company; (3) Heads of all departments of the Company; (4) Directors and senior management personnel of all subsidiaries of the Company; (5) Directors and senior management personnel appointed by the Company to its wholly-owned subsidiaries; (6) Routine contact persons of the above departments or companies; (7) Other personnel who may come into contact with major information.
