Caesar (China) Culture Co., Ltd. Independent Director's 2025 Annual Performance Report
As an independent director of Caesar (China) Culture Co., Ltd. (hereinafter referred to as the "Company"), in 2025, I strictly followed the Company Law, the Administrative Measures for Independent Directors of Listed Companies, the Shenzhen Stock Exchange Stock Listing Rules, the Shenzhen Stock Exchange Main Board Listed Company Standard Operation Guide, the Articles of Association, the Independent Director Work System, and other relevant laws, regulations, and rules. I diligently and conscientiously performed my duties as an independent director, faithfully exercised my powers, and actively attended the 2025 board meetings, meetings of its subordinate professional committees, and independent director special meetings. I carefully reviewed the proposals and materials for each meeting, provided professional opinions and suggestions on the company's operations and business development, fully leveraged the professional role of independent directors, and played a positive role in promoting and ensuring the company's standardized operation and stable development. This effectively guaranteed the reasonableness and fairness of the company's operations and effectively protected the interests of the company and its shareholders, especially public shareholders. I. Basic Information
I am Liang Qiang, born in 1981, a Chinese national with no permanent overseas residency. I am a member of the China Democratic League, hold a Ph.D. in Management, and am a professor. I have served as Vice Dean of the School of Entrepreneurship and Innovation at Shantou University, Deputy Director of the MBA Education Center at the Business School of Shantou University, and Vice Dean of the Business School of Shantou University. I am an independent director of Guangdong Meilian New Material Co., Ltd. I am currently the Dean of the Business School of Shantou University, Director of the MBA Education Center, and Director of the Chaozhou Business Innovation and Entrepreneurship Research Center. I have led multiple National Natural Science Foundation of China, National Social Science Fund of China, and Guangdong Provincial Natural Science Foundation projects. My research achievements have won the Excellent Research Achievement Award from the Ministry of Education of China and the Excellent Achievement Award in Philosophy and Social Sciences of Guangdong Province. My teaching achievements have won the First Prize for Teaching Achievements in Guangdong Province. I am a Standing Director of the China Enterprise Management Association, a Director of the Professional Committee for Technology and Innovation Management and the Professional Committee for Entrepreneurship and Small and Medium-sized Enterprise Management of the China Management Modernization Research Association, and a member of the 14th Committee of the Shantou Municipal People's Political Consultative Conference. I am currently an independent director of the Company.
