As an independent director of Guizhou Bailing Enterprise Group Pharmaceutical Co., Ltd. (hereinafter referred to as "the Company"), I have strictly complied with the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China," the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Main Board Listed Company Standard Operation Guide No. 1," and other relevant laws, administrative regulations, normative documents, and the "Articles of Association" and the "Work System for Independent Directors" of the Company. I have fulfilled my duties with integrity, diligence, and independence, effectively played the role of an independent director, and earnestly protected the legitimate rights and interests of the Company and all shareholders. This report details my fulfillment of duties in 2025:
I. Basic Information of the Independent Director
I am Yang Ming, male, born in May 1962, a Chinese national with no overseas residency. I am a native of Chengdu, Sichuan Province. I graduated from the Department of Pharmacy, Chengdu University of Traditional Chinese Medicine (now Chengdu University of Traditional Chinese Medicine) with a major in Traditional Chinese Medicine Pharmacy in 1983. I am a former Vice President of Jiangxi University of Traditional Chinese Medicine, former Vice Chairman of the Jiangxi Provincial Association for Science and Technology, doctoral supervisor, and chief professor. I am a recipient of special government allowances, a member of the Chinese Pharmacopoeia Commission, a national leading talent in Traditional Chinese Medicine (Qi Huang Scholar), the chief editor of "Pharmacology of Traditional Chinese Medicine," the director of the National Key Laboratory of Innovative Drugs and High-Efficiency Energy-Saving and Consumption-Reducing Pharmaceutical Equipment, and the director of the National Key Laboratory of Modern Traditional Chinese Medicine Preparations. I am the chairman of the Traditional Chinese Medicine Essential Oil Professional Committee of the China Association of Traditional Chinese Medicine, the director of the Professional Committee of Traditional Chinese Medicine Equipment of the China Association of Pharmaceutical Equipment Engineering, the president of the Professional Committee of Novel Drug Delivery Systems of the World Federation of Chinese Medicine Societies, and the general person in charge of the National Traditional Chinese Medicine Processing Technology Inheritance Base. I have been dedicated to the research of Traditional Chinese Medicine preparation systems for a long time, with particular expertise in new processes, new dosage forms, and new equipment for Traditional Chinese Medicine preparations, embodying the principle of "differentiating treatment and prescribing, decocting according to the formula, and preparing medicine according to the prescription." I established the "Chinese Medicine Aromatherapy" and "Chinese Medicine Aromatherapy Research Innovation Platform," and proposed the "Ten Fragrance Technology System." I have organized and undertaken over 30 national major projects, developed more than 30 innovative drugs and health products, and created 10 sets of Traditional Chinese Medicine equipment. I have received 11 provincial and ministerial-level science and technology achievement awards, published over 500 papers, and obtained 120 patents. Due to the company's board election, I have served as an independent director since June 5, 2023.
