COFCO Capital Holdings Co., Ltd. Announcement on the 2026 Remuneration Plan for Directors and Senior Management

COFCO Capital Holdings Co., Ltd. (hereinafter referred to as the "Company") held the seventh meeting of the sixth Board of Directors on April 23, 2026, and reviewed and approved the "Proposal on the 2026 Director Remuneration Plan" and the "Proposal on the 2026 Senior Management Remuneration Plan." All directors abstained from voting on the "Proposal on the 2026 Director Remuneration Plan," which will be directly submitted to the Company's shareholders' meeting for review. The relevant contents of the remuneration plan are hereby announced as follows:
I. Scope of Application All directors and senior management of the Company.
II. Period of Application January 1, 2026, to December 31, 2026.
III. Remuneration Plan
(I) Director Remuneration Plan
- Internal Directors: Non-independent directors who hold senior management or other full-time positions in the Company shall have their remuneration governed by the Company's remuneration management system, assessment, and incentive plans corresponding to their positions. Their director positions will not receive separate director allowances or other remuneration. If they concurrently hold senior management positions, their remuneration shall be in accordance with the standards of the senior management remuneration plan.
- External Directors: External directors shall not receive any remuneration from the Company, unless otherwise approved by the shareholders' meeting.
- Independent Directors: Independent directors shall receive a fixed director allowance of RMB 200,000 per year (before tax). Apart from this, they shall not receive any other remuneration or social security benefits from the Company.
