To all shareholders and shareholder representatives:
In accordance with the requirements of the Company Law, Securities Law, Guidelines for Corporate Governance of Listed Companies, Articles of Association, and the Independent Director Work System, and relevant laws and regulations, I, as an independent director of COFCO Capital Holdings Co., Ltd. (hereinafter referred to as "COFCO Capital" or "the Company"), have diligently performed my duties as an independent director in 2025, fully leveraging my independence and supervisory role to effectively protect the legitimate rights and interests of the Company and its shareholders, especially small and medium shareholders. The following is a report on my performance in 2025:
I. Basic Information of Independent Director and Self-Assessment of Independence
I am Liu Xiaolei, female, born in 1974, a Chinese national with no overseas residency, holding a doctoral degree. I previously served as a visiting assistant professor at Cheung Kong Graduate School of Business and an associate professor at The Hong Kong University of Science and Technology. I am currently a Boya Distinguished Professor at Peking University, a professor in the Department of Finance and Accounting at Peking University's Guanghua School of Management, Director of the Department of Finance, and Deputy Director of the School of Economics and Management. I also serve as an independent director for China Construction Bank Corporation and China National Petroleum Corporation.
