COFCO Capital Holdings Co., Ltd. (hereinafter referred to as the "Company") plans to conduct daily related party transactions with its controlling shareholder, COFCO Group Co., Ltd., and its subsidiaries (hereinafter referred to as "COFCO Group and its subordinate entities," excluding the Company and its subsidiaries) in insurance, futures, and trust businesses in 2026. The total projected amount for the Company's 2026 daily related party transactions is RMB 17 billion, compared to RMB 8.11 billion actually incurred in 2025.

In accordance with the "Shenzhen Stock Exchange Stock Listing Rules," transactions between the Company and COFCO Group and its subordinate entities constitute daily related party transactions.

The Company held the seventh meeting of the sixth Board of Directors on April 23, 2026, and deliberated and approved the "Proposal on Projected 2026 Annual Related Party Transactions." Related director Yu Lengleng abstained from voting. The independent directors' special meeting and the Board's Audit Committee reviewed this matter in advance and agreed to submit it to the Board for deliberation.
