Shenzhen Das Intelligent Co., Ltd. 2025 Annual Independent Director's Report
I, Wang Dong, as an independent director of Shenzhen Das Intelligent Co., Ltd. (hereinafter referred to as the "Company"), have diligently and impartially performed my duties in strict accordance with the Company Law of the People's Republic of China, the Corporate Governance Code for Listed Companies, the Rules for Independent Directors of Listed Companies, and the Articles of Association, among other relevant laws and regulations. I have exercised the independent role of an independent director, safeguarding the legitimate rights and interests of the Company and all shareholders, especially small and medium shareholders.
Herein is my report on my performance in 2025:
I. Basic Information
(I) Personal Work Experience, Professional Background, and Concurrent Positions
Mr. Wang Dong, born in March 1967, holds a Bachelor's degree in Physics from Tianjin Normal University, a Master's degree from Tianjin University of Finance and Economics, and a Doctorate from Nankai University and Tsinghua University. His main research areas include climate change and low-carbon economy, strategic management, multinational corporations and international investment, and regional economics. He previously served as an independent director of the Company's eighth board of directors, a visiting professor at Paris-Nanterre University (France) and Delft University of Technology (Netherlands), a specially appointed researcher at the Economic Research Institute of the National Development and Reform Commission, a specially appointed researcher at the Guangdong Provincial Institute of Reform, a soft science expert in Shenzhen, a member of the Shenzhen Carbon Emission Rights Trading Expert Committee, and the Chairman of the Supervisory Board of Shenzhen Laoyingda Group Co., Ltd. He is currently an independent director of the Company's ninth board of directors, Director of the Research Center for Climate Change and Low-Carbon Economy at Harbin Institute of Technology (Shenzhen), Director of the Shenzhen Research Center for Climate Change Response, and President of the Shenzhen International Low-Carbon Development Research Institute.
(II) Statement of Independence
During my tenure as an independent director of the Company this year, in addition to serving as an independent director and a member of the Strategy and Sustainable Development (ESG) Committee, I have not held any other positions within the Company, nor have I held any positions in the major shareholder's unit. There is no direct or indirect conflict of interest between myself, the Company, major shareholders, and the actual controller, nor are there any other relationships that could interfere with independent and objective judgment, ensuring that my independence is not affected.
Upon self-examination, I continue to comply with the Administrative Measures for Independent Directors of Listed Companies, the Shenzhen Stock Exchange's Self-Regulatory Guidelines for Listed Companies No. 1 - Standardized Operation of Main Board Listed Companies, and the Articles of Association, among other requirements for the independence of independent directors.
II. Annual Performance Overview

This year, the Company held a total of 7 board meetings and 3 shareholder meetings. I personally attended these meetings, devoting sufficient time and energy to effectively fulfill my duties, and there were no instances of absence, entrusting others to attend, or missing two consecutive meetings without personal attendance.

The convening and holding of the Company's board and shareholder meetings complied with legal procedures. Major operational decisions were made through relevant procedures, and they were legal and effective. I had no objections to any of the Company's proposals.
