Chapter 1 General Provisions
Article 1 These Detailed Rules for Work are formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Listing Rules of the Shenzhen Stock Exchange," and other relevant laws and regulations, as well as the "Articles of Association of Shenzhen Das Intelligent Co., Ltd." (hereinafter referred to as the "Articles of Association") to regulate the conduct of the management personnel of Shenzhen Das Intelligent Co., Ltd. (hereinafter referred to as the "Company"), ensure that the General Manager and Deputy General Managers protect the legitimate rights and interests of the Company, shareholders, and creditors, faithfully perform their duties, and work diligently and efficiently.
Article 2 These Detailed Rules for Work are binding on the General Manager and Deputy General Managers of the Company.
Article 3 The General Manager is the supervisor who exercises overall control over the Company's daily operational management activities. The General Manager is the executor of the board of directors' resolutions, exercises powers within the scope authorized by the board of directors in accordance with the law, presides over the Company's daily operations and management, and is responsible to the board of directors for the Company's operational performance.
The Deputy General Manager is the assistant to the General Manager and assists the General Manager in his work. If the General Manager is unable to perform his duties due to reasons, the Chairman shall authorize a Deputy General Manager to act on behalf of the General Manager.
Article 4 The General Manager shall abide by the provisions of laws, administrative regulations, departmental rules, normative documents, and the Company's "Articles of Association," and fulfill the obligations of integrity and diligence.
Chapter 2 Appointment and Removal of the General Manager
Article 5 The Company shall have one General Manager and a number of Deputy General Managers.
Article 6 The General Manager shall be nominated by the Chairman and appointed or removed by the board of directors. The Deputy General Manager shall be nominated by the General Manager and submitted to the board of directors for appointment or removal.
The General Manager and Deputy General Manager may concurrently serve as directors. The number of directors who concurrently serve as senior management personnel and directors appointed by employee representatives shall not exceed 1/2 of the total number of directors.
Article 7 The term of office for the General Manager of the Company shall be three years per term, and re-appointment is permitted.
Article 8 The General Manager shall meet the following conditions for appointment: (1) Possess rich economic theoretical knowledge, management knowledge, and practical experience, and have strong operational management capabilities; (2) Possess the ability to motivate employees, establish a reasonable organizational structure, coordinate internal and external relationships, and oversee the overall situation; (3) Have a certain number of years of experience in enterprise management or economic work, be proficient in the industry, and be familiar with the production and operation businesses of various industries and relevant national laws, regulations, and policies; (4) Be honest, diligent, upright, and fair; (5) Be vigorous and strong, with a strong sense of mission and a pioneering and enterprising spirit.
