Announcement on Risk Warning for Agreement Transfer

- Guangzhou Yichang Technology Co., Ltd. (hereinafter referred to as "the Company") disclosed an announcement on December 26, 2025, regarding the signing of a "Share Transfer Agreement" by its controlling shareholder, Gaojin Technology Industry Group Co., Ltd. (hereinafter referred to as "Gaojin Group"), with Chuzhou Weiran Technology Development Partnership (Limited Partnership) (hereinafter referred to as "Weiran Partnership"). This equity change is subject to compliance review by the Shenzhen Stock Exchange and must complete share transfer registration with the Shenzhen branch of China Securities Depository and Clearing Co., Ltd., as well as obtain other necessary approvals as required by relevant laws and regulations. As of the date of this announcement, the Company has not met the conditions for filing the compliance review with the Shenzhen Stock Exchange. There is uncertainty regarding whether the aforementioned matters can be ultimately implemented and the timing of such implementation. The Company will fulfill its information disclosure obligations in a timely manner based on subsequent developments.
