I. Basic Information of Independent Director
He Hezheng, male, Chinese national, born in 1963, holds a Ph.D. Since 1994, he has been a professor at the School of Mechanical and Automotive Engineering, South China University of Technology. He also serves as an editorial board member of the magazine "Mechatronics Engineering Technology" and Deputy Secretary-General of the Guangdong Mechanical Engineering Society.
As an independent director of Guangzhou Yichang Technology Co., Ltd. (hereinafter referred to as the "Company"), I do not hold any positions in the Company other than independent director, nor do I hold any positions in the companies of the Company's major shareholders. There are no relationships with the Company or its major shareholders that could hinder my independent and objective judgment. I have submitted the "Self-Inspection Report on Independence" to the Company's Board of Directors. I meet the independence requirements for independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies" and the "Code of Business Practice for Main Board Listed Companies" issued by the Shenzhen Stock Exchange.
II. Overview of Independent Director's Performance in the Reporting Year
In 2025, the Company held a total of 10 Board of Directors meetings and 4 shareholder meetings. As a member of the sixth Board of Directors, I attended all convened Board of Directors meetings during my term, with no absences. I voted in favor of all proposals submitted to the Board of Directors, with no opposing or abstaining votes.
