Zhejiang Kangsheng Co., Ltd. (hereinafter referred to as the "Company") held the fifth meeting of the Seventh Board of Directors on April 28, 2026, and deliberated and passed the "Proposal on Purchasing Directors' and Senior Management Liability Insurance." This matter still needs to be submitted to the Company's 2025 Annual General Meeting for deliberation. The specific details are hereby announced as follows:
I. Specific Plan for Liability Insurance
- Insured Party: Zhejiang Kangsheng Co., Ltd.
- Insured Persons: The Company and all directors, senior management personnel, and relevant responsible personnel.
- Compensation Limit: Not exceeding RMB 30,000,000.00.
- Premium Expenditure: Not exceeding RMB 500,000.00 per year (subject to the final quotation and approval data from the insurance company).
- Insurance Period: 12 months (renewable or re-insured annually thereafter).
II. Related Authorization Matters
To improve decision-making efficiency, the Board of Directors also proposes that the Shareholders' Meeting authorize the Company's management to handle matters related to the purchase of Directors' and Senior Management Liability Insurance within the aforementioned limits (including but not limited to determining other relevant responsible personnel; determining the insurance company; determining the compensation limit, insurance premium, and other insurance terms; selecting and appointing insurance brokers or other intermediary agencies; signing relevant legal documents and handling other matters related to insurance), as well as matters related to renewal or re-insurance upon or before the expiration of the Directors' and Senior Management Liability Insurance contract.
