2025 Annual Report of Independent Director
As an independent director of Hangzhou Hikvision Digital Technology Co., Ltd. (hereinafter referred to as "Hikvision" or "the Company"), in accordance with the requirements of the "Company Law," "Securities Law," "Corporate Governance Guidelines for Listed Companies," "Management Measures for Independent Directors of Listed Companies," and other laws, regulations, and normative documents, as well as the "Articles of Association" and the "Work System for Independent Directors," I actively attended relevant company meetings in 2025, diligently reviewed various proposals, faithfully and diligently performed my duties independently, and protected the interests of the Company and its shareholders, especially small and medium shareholders. The performance of my duties in 2025 is reported as follows:
I. Basic Information of Independent Director
(I) Work Experience, Professional Background, and Concurrent Positions
Mr. Wu Xiaobo holds a Ph.D. in Management, is a professor, and a doctoral supervisor. He began his career in February 1982. He previously served in the Energy Conservation Office of the Ministry of Forestry and the Zhejiang Provincial Energy Conservation Technology Service Center. In July 1992, he joined the School of Management at Zhejiang University, serving successively as Executive Vice Dean, Dean, and Director of the School of Social Sciences at Zhejiang University. He is currently the Director of the Research Center for Innovation Management and Sustainable Competitiveness at Zhejiang University, the Chinese Director of the Zhejiang University-Cambridge University "Global Manufacturing and Innovation Management Joint Research Center," an independent director of UCloud Technology Co., Ltd., and an independent director of this Company.
(II) Statement on Independence
I do not hold any positions in the Company other than that of an independent director, nor do I hold any positions in the principal shareholders' companies. I perform my duties independently and have no relationship of interest with the Company or its principal shareholders or actual controllers, nor any other relationship that may hinder my independent and objective judgment.
In 2025, I conducted a self-assessment of my independence and confirmed that I meet the independence requirements for serving as an independent director of Hikvision as stipulated by applicable laws and regulations. I submitted the self-assessment results to the Board of Directors. The Board of Directors assessed my independence and concluded that my tenure as an independent director meets the independence requirements stipulated in Article 6 of the "Management Measures for Independent Directors of Listed Companies," and there are no circumstances that affect my independence.
II. Performance of Duties in 2025
(I) Attendance at Meetings
In 2025, the Company held 2 shareholder meetings and 4 board meetings. I personally attended all relevant meetings, having sufficient time and energy to effectively perform my duties, and there were no instances of absence, authorizing others to attend, or missing two consecutive meetings without personal attendance. I believe that the convening and holding of the meetings complied with legal procedures, that the decision-making for relevant matters followed necessary approval procedures and disclosure obligations, and that they complied with relevant laws, regulations, and the "Articles of Association."
