Chapter 1 General Provisions
Article 1 Objectives and Basis for Establishment
To establish a sound, scientific, and standardized compensation management and incentive-restraint mechanism, fully mobilize the enthusiasm and creativity of employees of Zibo Qixiang Tengda Chemical Co., Ltd. (hereinafter referred to as the "Company"), effectively enhance the Company's corporate governance level and operating efficiency, and promote the Company's sustainable development, this system is formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Guidelines for Corporate Governance of Listed Companies," the "Shenzhen Stock Exchange Stock Listing Rules," and the "Articles of Association of Zibo Qixiang Tengda Chemical Co., Ltd." (hereinafter referred to as the "Articles of Association"), as well as the Company's actual situation.
Article 2 Scope of Application
This system applies to all employees who have established labor relations or employment relationships with the Company. The compensation management of the Company's directors and senior management shall comply with this system and relevant regulations for listed company supervision.
Article 3 Management Principles
The Company's compensation management adheres to the following principles:
(1) Strategic Orientation Principle: Compensation policies shall be aligned with industry standards, the Company's development strategies, operating objectives, and corporate culture.
