I. Overview of External Investment Duofu Duo New Material Co., Ltd. (hereinafter referred to as the "Company") held its 8th Board of Directors' 7th meeting on May 14, 2026, and approved the "Proposal on the Transfer of Equity Interest in Yangquan Economic and Technological Development Zone Wutongshu Jiasheng Equity Investment Partnership (Limited Partnership) and External Investment." The Company agreed to acquire an 89.5522% equity interest (registered capital of RMB 180 million, of which RMB 90 million has been paid in) in Yangquan Jiasheng Fund, held by Yangquan Kaiyuan Asset Management Co., Ltd. (hereinafter referred to as "Kaiyuan Asset"), for RMB 1,028.957 million. Upon completion of this transaction, the Company will hold a 99.5025% equity interest in Yangquan Jiasheng Fund.
