| II. 2026 Remuneration Plan for Directors and Senior Management |
- Scope of Application Directors and senior management who receive remuneration (allowances) from the Company.
- Validity Period The directors' remuneration plan shall take effect and be implemented after being approved by the shareholders' meeting, and shall become invalid after the new remuneration plan is approved by the relevant authorities. The senior management remuneration plan shall take effect and be implemented after being approved by the Board of Directors, and shall become invalid after the new remuneration plan is approved by the relevant authorities.
- Remuneration Standards 3.1 Directors' Remuneration Non-independent directors (including employee representative directors) who hold specific positions within the Company shall not receive allowances based on their directorships. Instead, they shall receive remuneration based on the remuneration standards corresponding to their specific management positions within the Company, and shall be assessed in accordance with the Company's relevant assessment system and actual performance. Independent directors who do not hold specific positions within the Company shall receive an allowance of RMB 150,000 per year (pre-tax), paid on a monthly average basis. 3.2 Senior Management Remuneration Senior management of the Company shall receive salaries in accordance with the Company's relevant remuneration system, based on their specific management positions within the Company.
- Remuneration Composition Non-independent directors and senior management who hold positions within the Company shall implement an annual salary system, with the remuneration structure consisting of basic salary, performance-based salary, and long-term incentives. (I) Basic Salary: Determined based on the responsibility level and ability level of the position held, and paid monthly. (II) Performance-based Salary: Determined based on the Company's business performance target achievement and individual performance contributions. It shall account for no less than 50% of the total basic salary and performance-based salary, and shall be paid according to the performance assessment period and results. (III) Long-term Incentives: The Company will, based on business development needs and capital market conditions, adopt long-term incentive methods such as stock options, restricted stock, and employee stock ownership plans that comply with regulatory requirements in a timely manner. Specific plans will be formulated separately in accordance with relevant national laws and regulations and will undergo corresponding approval procedures. The determination and payment of the above performance-based salary and long-term incentives shall be based on the results of performance evaluations.
- Other Provisions For non-independent directors and senior management who hold positions within the Company, a certain proportion of the performance-based salary will be paid after the annual report is disclosed and the performance evaluation is completed. The performance evaluation shall be based on audited financial data. For directors and senior management who leave their positions due to changes in board composition, re-election, or resignation during their term, their remuneration shall be calculated and paid based on their actual tenure. The above remuneration is pre-tax. Individual income tax shall be withheld and paid by the Company in accordance with the law. III.
