I. Basic Situation of Routine Related-Party Transactions
(I) Overview of Routine Related-Party Transactions
Beijing NavInfo Co., Ltd. (hereinafter referred to as the "Company" or "this Company") and its subsidiaries plan to conduct routine related-party transactions in 2026 with related parties including NavInfo (Nanjing) Technology Co., Ltd. (hereinafter referred to as "Nanjing Zhiyun") and its subsidiaries Beijing NavInfo Zhiyun Technology Co., Ltd. (hereinafter referred to as "Beijing Zhiyun"), Ruilian Xingchen (Beijing) Technology Co., Ltd. (hereinafter referred to as "Ruilian Xingchen"), and other related companies controlled by Nanjing Zhiyun (collectively referred to as "NavInfo Zhiyun"); PhiGent Robotics Limited (hereinafter referred to as "Jianzhi Cayman") and its subsidiaries Beijing Jianzhi Technology Co., Ltd. (hereinafter referred to as "Beijing Jianzhi"), NavInfo Smart Driving (Beijing) Technology Co., Ltd. (hereinafter referred to as "Tuxin Zhiyun"), and other related companies controlled by Jianzhi Cayman (collectively referred to as "Jianzhi Cayman"); Beijing Liufeng Technology Co., Ltd. (hereinafter referred to as "Beijing Liufeng") and other related companies controlled by Beijing Liufeng (collectively referred to as "Liufeng Technology"); Shenzhen Youjia Innovation Technology Co., Ltd. (hereinafter referred to as "Youjia Innovation"); and Changsha Haitu Technology Co., Ltd. (hereinafter referred to as "Haitu Technology"). The total estimated amount of these routine related-party transactions will not exceed RMB 1,203 million. The actual amount of routine related-party transactions that occurred between the Company and the aforementioned related parties in 2025 was RMB 49,682.99 million.
