I. Convening of the Board Meeting
Beijing NavInfo Co., Ltd. (hereinafter referred to as the "Company") sent out the "Notice on Convening the 18th Meeting of the 6th Board of Directors of Beijing NavInfo Co., Ltd." via email and telephone to all directors and relevant personnel on March 3, 2026. The 18th Meeting of the 6th Board of Directors of Beijing NavInfo Co., Ltd. (hereinafter referred to as the "Meeting") was held in an off-site format on March 19, 2026. A total of 9 directors were eligible to attend, and 9 directors actually attended. The meeting was presided over by Ms. Zhang Ying, Chairman of the Board, and the Secretary of the Board attended the meeting. The convening of this meeting complies with relevant laws, administrative regulations, departmental rules, and the "Articles of Association of Beijing NavInfo Co., Ltd." The meeting is legal and valid.
II. Deliberation of the Board Meeting
- Deliberation and Approval of the "Proposal on Further Extending the Term of the First Employee Stock Ownership Plan."
Given that the term of the Company's first employee stock ownership plan will expire on March 23, 2026, and the company's shares held under the plan have not yet been fully sold. According to the "Beijing NavInfo Co., Ltd. First Employee Stock Ownership Plan (Draft) (Subscribed via Non-public Offering)" and the relevant management regulations of the Shenzhen Stock Exchange, the term of this plan will be extended to September 23, 2026. Apart from this, no other content of the first employee stock ownership plan has changed.
