Zhejiang Shengwen Law Firm (hereinafter referred to as "the Firm") was entrusted by Zhejiang Jiaxin Silk Co., Ltd. (hereinafter referred to as "Jiaxin Silk" or "the Company") to appoint lawyers Jianwei Zhang and Jingyu Yang to attend the Company's 2025 Annual General Meeting (hereinafter referred to as "the Meeting") held at 2:00 PM on April 21, 2026, in the conference room on the 22nd floor, No. 588 Zhonghuan West Road, Jiaxing City, Zhejiang Province. Pursuant to the "Company Law of the People's Republic of China" (hereinafter referred to as "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as "Securities Law"), the "Rules for Shareholders' Meetings of Listed Companies" (hereinafter referred to as "Shareholders' Meeting Rules"), and other relevant laws, regulations, and the "Articles of Association of Zhejiang Jiaxin Silk Co., Ltd." (hereinafter referred to as "Articles of Association"), the Firm's lawyers have witnessed and provided legal opinions on the legality of the Meeting's convening and procedures, the qualifications of the attendees, and the legality and validity of the voting procedures and results. The Firm's lawyers will not provide opinions on the content of the proposals deliberated at the Meeting or the truthfulness and accuracy of the facts and data stated in the proposals.
