As an independent director of Guangdong Advertising Group Co., Ltd. (hereinafter referred to as the "Company"), in accordance with the "Company Law," "Administrative Measures for Independent Directors of Listed Companies," and "Articles of Association," I have fully utilized my role as an independent director during 2025, diligently and conscientiously attending relevant meetings and carefully reviewing all proposals submitted to the board of directors. This has effectively protected the interests of the Company and its shareholders, particularly minority shareholders. The following is my performance report for the year 2025:
I. Basic Information of Independent Director
(I) Basic Information Liang Danni, born in August 1976. Associate Professor and Doctoral Supervisor at the Law School of Sun Yat-sen University, Arbitrator at the China International Economic and Trade Arbitration Commission, Arbitrator at the Shenzhen Court of International Arbitration, and concurrently serves as an independent director of Guangzhou Gaolan Energy Saving Technology Co., Ltd. She has served as an independent director of the Company since January 2020.
(II) Statement on Circumstances Affecting Independence As an independent director of the Company, upon self-examination, I confirm that I meet the requirements for independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies," "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1 – Normative Operation of Main Board Listed Companies," and other relevant laws and regulations. There are no circumstances that affect my independence.
