As an independent director of Guangdong Advertising Group Co., Ltd. (hereinafter referred to as the "Company"), in accordance with the "Company Law," the "Administrative Measures for Independent Directors of Listed Companies," and the "Articles of Association," I have fully exercised my role as an independent director during 2025, diligently and conscientiously attending relevant meetings, carefully reviewing all proposals submitted to the board of directors, and effectively safeguarding the interests of the Company and its shareholders, especially minority shareholders. The following is my performance report for fulfilling my duties as an independent director in 2025:
I. Basic Information of Independent Directors
(I) Basic Information Liang Tongying, born in November 1961. Professor at the School of Business Administration, South China University of Technology, doctoral supervisor, and Director of the Capital Market and Corporate Finance Research Center. He also serves as an independent director for Guangdong Construction Engineering Group Co., Ltd. and Guangdong Hongda Holdings Group Co., Ltd. He has served as an independent director of the Company since January 2020.
(II) Statement on Circumstances Affecting Independence As an independent director of the Company, I have self-inspected and found that I comply with the requirements regarding the independence of independent directors stipulated in the "Administrative Measures for Independent Directors of Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 1 - Standardized Operation of Main Board Listed Companies," and other relevant laws and regulations. There are no circumstances affecting my independence.
