Chapter 1 General Provisions
Article 1 To protect the legitimate rights and interests of the company, shareholders, employees, and creditors, and to regulate the organization and conduct of the company, these Articles of Association are formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), and other relevant regulations.
Article 2 The Company is a joint-stock limited company established in accordance with the "Company Law" and other relevant regulations (hereinafter referred to as the "Company").
The Company was established as a joint-stock company through the overall change of Xiamen Research Institute of Building Science (Group) Co., Ltd. as of July 31, 2007, based on the audit results. It was registered with the Xiamen Administration for Industry and Commerce and obtained its business license on October 8, 2007, with a unified social credit code: 913502004266020172.
Article 3 On March 26, 2010, the Company was approved by the China Securities Regulatory Commission to issue 30 million shares of RMB common stock to the public for the first time, and was listed on the Shenzhen Stock Exchange on May 6, 2010.
