Board of Directors' Special Opinion on the Self-Inspection of Independent Directors' Independence
The Board of Directors of Beijing Lier High Temperature Materials Co., Ltd. (hereinafter referred to as the "Company") has, in accordance with the "Administrative Measures for Listed Companies," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1—Normative Operation of Main Board Listed Companies," and other requirements, assessed the independence of its incumbent independent directors Mr. Zhang Guodong, Mr. Liang Yonghe, Mr. Yuan Lin, and Ms. Song Fei, and hereby issues the following special opinion:
Upon review of the professional backgrounds of independent directors Mr. Zhang Guodong, Mr. Liang Yonghe, Mr. Yuan Lin, and Ms. Song Fei, and the relevant self-inspection documents they have signed, it is confirmed that these individuals do not hold any positions in the Company other than independent director, nor do they hold any positions in the Company's principal shareholder entities. They have no relationship of interest with the Company or its principal shareholders, nor any other relationship that could hinder their independent and objective judgment. There are no circumstances that affect the independence of the independent directors, and they meet the requirements for independent director independence stipulated in the "Administrative Measures for Listed Companies" and the "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1—Normative Operation of Main Board Listed Companies."
