(hereinafter referred to as the "Company")'s 2025 Annual General Meeting (hereinafter referred to as the "Meeting") was held on-site on May 12, 2026, at 14:00 in the conference room on the 15th floor, Yuan 1, Ke Kai, No. 83, Xintian Avenue North Section, Wudang District, Guiyang City, Guizhou Province. Grandall Lawyers (Shanghai) Office (hereinafter referred to as the "Office") was entrusted by the Company to appoint lawyers from the Office to attend the meeting and, in accordance with the "Securities Law of the People's Republic of China," the "Company Law of the People's Republic of China," and the "Articles of Association of Guizhou Xinbang Pharmaceutical Co., Ltd." (hereinafter referred to as the "Articles of Association"), issue this Legal Opinion.
The lawyers of the Office have, in accordance with the provisions of relevant laws and regulations, expressed legal opinions on whether the convening and holding procedures of the Meeting were legal and compliant, whether the qualifications of the convener and attendees were legal and valid, and on the voting procedures and results of the Meeting. The Legal Opinion contains no false, misleading statements or material omissions; otherwise, the Office is willing to bear corresponding legal liabilities.
