Chapter 1 General Provisions
Article 1 To further regulate the production and operation activities of Guizhou Xinbang Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company"), prevent commercial bribery in production and operation management, strengthen the long-term early warning mechanism of corporate governance, protect the legal rights and interests of the Company, shareholders, and employees, and prevent the occurrence of various improper behaviors, in accordance with the "Company Law of the People's Republic of China," "Anti-Unfair Competition Law of the People's Republic of China," "Opinions on the Application of Law in Handling Criminal Cases of Commercial Bribery," "Several Provisions of the Supreme People's Court on the Application of Law in Handling Criminal Cases of Bribery," "Interim Provisions on Prohibiting Commercial Bribery," and other relevant laws, regulations, normative documents, and the "Articles of Association" of the Company, and in combination with the actual situation of the Company, this system is hereby formulated.
Article 2 This system applies to the Company and its controlled subsidiaries.
Article 3 The purpose of this system is to regulate all directors, senior management personnel, and employees of the Company, establish a clean, diligent, and dedicated work style, abide by relevant laws, regulations, and internal management systems of the Company, and prevent behaviors that harm the legal rights and interests of the Company, shareholders, and employees.
Article 4 Commercial bribery behaviors that harm the legal rights and interests of the Company and public interests are prohibited. Company employees and related personnel, as well as business partners who conduct business in the name of the Company or for the Company's legal interests, are prohibited from bribing state officials, employees of transaction counterparties, and other individuals and entities who may use their authority or influence to affect transactions, in order to obtain improper benefits. The acceptance of commercial bribery by company employees is prohibited.
Chapter 2 Commercial Bribery Activities
Article 5 Commercial bribery refers to an improper competitive behavior aimed at obtaining commercial transaction opportunities, where cash, valuable items, or other benefits are directly or indirectly provided, promised, given, solicited, or accepted in exchange for kickbacks, promotion fees, publicity fees, service fees, reimbursement of various expenses, or other names outside of the transaction.
