Yibin Tianyuan Group Co., Ltd. (hereinafter referred to as the "Company") convened its 2026 Second Extraordinary General Meeting (hereinafter referred to as the "Meeting") using a combination of on-site and online voting methods. The on-site meeting was held at 14:00 on April 10, 2026 (Friday) in the conference room of Yibin Tianyuan Group Co., Ltd. at No. 61, Gangyuan Road West Section, Lingang Economic and Technological Development Zone, Yibin, Sichuan. Beijing Tian Yuan (Chengdu) Law Firm (hereinafter referred to as the "Firm") was appointed by the Company to send its lawyers to attend the on-site meeting of this shareholder meeting. Based on the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Rules for Shareholders' Meetings of Listed Companies" (hereinafter referred to as the "Shareholders' Meeting Rules"), and the "Articles of Association of Yibin Tianyuan Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), this legal opinion is issued regarding the convocation and holding procedures of this shareholder meeting, the qualifications of attendees, the qualifications of the convener, the voting procedures, and the voting results.
To issue this legal opinion, the Firm's lawyers have reviewed the "Resolution Announcement of the 22nd Meeting of the 9th Board of Directors of Yibin Tianyuan Group Co., Ltd.," the "Resolution Announcement of the 1st Extraordinary Meeting of the Board of Directors of Yibin Tianyuan Group Co., Ltd. in 2026," and the "Notice of Yibin Tianyuan Group Co., Ltd. on Convening the 2026 Second Extraordinary General Meeting" (hereinafter referred to as the "Notice of Convening the Meeting"), as well as other documents deemed necessary by the Firm's lawyers.
