Yibin Tianyuan Group Co., Ltd. (hereinafter referred to as the "Company") held the 25th meeting of the 9th Board of Directors on March 25, 2026, and reviewed and approved the "Proposal on Re-appointment of Auditor for 2026". It was agreed that the Company would re-appoint Sichuan Huaxin (Group) Certified Public Accountants (Special General Partnership) (hereinafter referred to as "Sichuan Huaxin") as the Company's financial auditor for 2026, and this proposal will be submitted to the Company's 2025 Annual Shareholders' Meeting for review. The relevant matters are hereby announced as follows:
I. Explanation of the Proposed Appointment of Accounting Firm
Sichuan Huaxin holds securities and futures related business licenses for accounting firms, possesses rich experience in listed company audits and professional ethics. During its tenure as the Company's auditor, it has diligently performed its duties, complied with relevant regulations such as the "Chinese Certified Public Accountants' Independent Auditing Standards", adhered to independent, objective, and fair auditing principles, and issued independent audit opinions in a fair and reasonable manner. It has demonstrated good professional ethics and professional capabilities, and possesses sufficient independence, professional competence, investor protection capabilities, and a good track record of integrity.
To maintain the continuity and stability of audit work, the Company's Board of Directors' Audit Committee and the Board of Directors have reviewed and approved the re-appointment of Sichuan Huaxin as the Company's auditor for 2026. The Company's Board of Directors proposes that the Shareholders' Meeting authorize the Company's management to negotiate the relevant audit fees with Sichuan Huaxin based on the Company's specific audit requirements and scope for 2026.
