I. Election Situation
The sixth Board of Directors of Suzhou Dongshan Precision Manufacturing Co., Ltd. (hereinafter referred to as the "Company") is about to expire. In accordance with the "Company Law," relevant laws and regulations, normative documents, and the "Articles of Association," the Company convened the 2026 Second Employee Representative Meeting on May 15, 2026. After democratic voting by the attending employee representatives, it was agreed to elect Mr. Ma Liqiang (resume attached) as the employee representative director for the seventh Board of Directors. He will form the seventh Board of Directors with the non-employee representative directors elected by the 2025 shareholder meeting. The term of office will commence from the date of completion of the shareholder meeting's election until the expiration of the seventh Board of Directors' term.
Mr. Ma Liqiang meets the qualifications and conditions for director positions stipulated by the "Company Law," relevant laws and regulations, normative documents, and the "Articles of Association." After this election, the total number of directors who concurrently serve as senior management personnel of the Company and directors appointed as employee representatives on the seventh Board of Directors does not exceed one-half of the total number of directors of the Company.
